SeraCare selling to Linden for $82M

A little more than six months after rejecting an $82 million buyout from one firm, SeraCare Life Sciences Inc. has accepted an offer to be acquired for the same amount by another firm, an affiliate of Linden Capital Partners.

The Chicago-based private equity firm will pay $4 per share for SeraCare’s outstanding stock, which the companies said in a release marked a 25 percent premium over the 30-day volume-weighted average stock price for shares in Milford-based SeraCare (Nasdaq: SRLS).

Greg Gould, who was named interim president, CEO and CFO of SeraCare in July 2011, said in the release that “Linden is a natural strategic fit for SeraCare with a proven record of operating successful companies in the healthcare and life sciences sectors.”

The deal, assuming all conditions are met and it is approved by shareholders and the U.S. Securities and Exchange Commission, is expected to close in the second quarter of 2012, officials said in the release.

SeraCare fielded an unsolicited offer in June from by New York-based healthcare and biotechnology business investors MSMB Capital Management, a shareholder in the company. MSMB offered to buy the company for $82 million, the same amount it accepted from Linden. The company has developed diagnostic controls, molecular biomarkers, biobanking and contract research services.
